Terms & Conditions

1.1

By downloading, accessing, or using the Platform, whether as a registered user or guest, you confirm that you are at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms.

1.2

We may update these Terms periodically to reflect changes in our services or legal requirements. Updated Terms will be posted on the Platform with the effective date. Continued use of the Platform after updates constitutes acceptance of the revised Terms.

1.3

You must agree to these Terms before proceeding to use the Platform, either by clicking "Accept" during onboarding or by continuing to use the Platform as a guest.

1.4

The Platform is intended for users aged 18 and above. Users below the applicable legal age (16 in EU, 18 in UAE) may not register or access interactive features of the Platform.

2.1

The Platform is a Proptech solution offering property listings, AI-driven insights (e.g., property recommendations, AI driven Mortgage Information & recommendation, price predictions), an AI Chatbot, and related services to facilitate property exploration and transactions in the UAE.

2.2

Services are provided subject to availability and may vary based on your access level (guest or registered user).

2.3

We reserve the right to modify, suspend, or discontinue any part of the Platform at our discretion, with or without notice, in accordance with UAE Federal Law No. 34 of 2023 on Consumer Protection.

3.1 Registered Users

• To access full Platform features, including AI-driven functionalities and personalized services, you must create an account by providing accurate and complete information (e.g., email address or phone number).
• You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.
• You must notify us immediately of any unauthorized access or breach of your account via info@hayy.ai

3.2 Guest Access

• You may explore the Platform's as a guest without creating an account.
• Guest access is limited to viewing static content (e.g., promotional banners, sample property listings) and does not include interactive or AI-driven features.
• Attempting to access restricted features (e.g., property filters, AI Chatbot) will redirect you to the account creation screen.
• No personal data is stored for guest sessions, except temporary session identifiers for analytics purposes, as permitted under UAE Federal Law No. 45 of 2021 on Personal Data Protection.

4.1 Permitted Use

• You may use the Platform to browse property listings, access AI-driven insights, submit inquiries, and engage in lawful activities related to property exploration.
• Use must comply with these Terms, UAE laws, and Dubai's property and e-commerce regulations.

4.2 Prohibited Conduct

You must not:

• Engage in fraudulent, illegal, or unauthorized activities, including misrepresenting property details or user identity.
• Attempt to hack, reverse-engineer, or disrupt the Platform's functionality or security.
• Use automated tools (e.g., bots, scrapers) to extract data without our prior written consent.
• Post or transmit harmful content, including malware, defamatory material, or content violating third-party rights.
• Violate UAE Cybercrime Law (Federal Decree-Law No. 34 of 2021) or other applicable regulations.

5.1

The Platform offers AI-driven features, including an AI Chatbot, property recommendations, and price predictions, available only to registered users.

5.2

AI features are provided "as is." While we strive for accuracy, we do not guarantee the reliability, completeness, or suitability of AI-generated outputs for your specific needs.

5.3

You agree not to misuse AI features, including submitting inappropriate or unlawful queries to the AI Chatbot.

5.4

We may monitor AI interactions to improve services and ensure compliance with these Terms, in line with UAE data protection laws.

6.1

Any content you submit (e.g., property inquiries, AI Chatbot inputs, Photos uploaded, reviews) is your responsibility. You confirm that your content is accurate, lawful, and does not infringe on third-party rights.

6.2

By submitting content, you grant KLUGSYS Proptech LLC a non-exclusive, worldwide, royalty-free, perpetual license to use, store, process, and display such content to provide and enhance Platform services.

6.3

We may remove or moderate user content that violates these Terms or UAE laws at our discretion.

7.1

We collect, store, and process personal data (e.g., name, email, phone number, location, Nationality and other preferences) in accordance with our Privacy Policy and UAE Federal Law No. 45 of 2021 on Personal Data Protection.

7.2

By using the Platform, you consent to the collection and processing of your data as described in the Privacy Policy.

7.3

We implement reasonable security measures to protect your data but cannot guarantee absolute security. You acknowledge the inherent risks of online data transmission.

7.4

For guests, no personal data is stored beyond temporary session identifiers, which are anonymized and used solely for analytics.

8.1

All Platform content, including text, images, logos, AI algorithms, and software, is owned by or licensed to KLUGSYS Proptech LLC and protected by UAE Federal Law No. 38 of 2021 on Copyrights and Neighboring Rights.

8.2

You may not reproduce, distribute, modify, or create derivative works from Platform content without prior written consent.

8.3

The "Hayy.AI" name and logo are trademarks of KLUGSYS Proptech LLC. Unauthorized use is prohibited.

9.1

The Platform provides information on properties but does not act as a real estate broker, agent, or party to any property transaction unless explicitly stated.

9.2

Property listings are provided for informational purposes. We do not guarantee the accuracy, availability, or legality of listed properties.

9.3

Any agreements or transactions arising from Platform use (e.g., property rentals, Mortgages, purchases) are solely between you and the relevant third party (e.g., property owner, agent and other service providers). We are not liable for such transactions.

10.1

To the maximum extent permitted by UAE law, KLUGSYS Proptech LLC, its affiliates, and partners shall not be liable for any indirect, incidental, consequential, or special damages arising from or in connection with your access to or use of, or inability to access or use, the Platform, including any loss of profits, revenue, business, goodwill, data, or opportunities.

10.2

We do not guarantee uninterrupted, secure, or error-free access to the Platform and are not liable for disruptions, delays, failures, or errors caused by factors beyond our control (e.g., network failures, telecommunications issues, third-party service interruptions, force majeure). To the maximum extent permitted by UAE law, we shall not be liable for any damage to, interference with, or reduced performance of your devices, systems, or networks, or for any loss, corruption, or unauthorized disclosure of data, arising out of or in connection with the downloading, installation, access to, or use of the Platform, and you acknowledge that you bear all risks associated with such downloading, installation, access, and use.

10.3

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable mandatory provisions of UAE law, including, where applicable, liability for death or personal injury caused by our gross negligence or willful misconduct, or any other liability that cannot lawfully be excluded or limited.

12.1

You may stop using the Platform at any time. Registered users can delete their account via the app's settings, subject to our data retention policies.

12.2

We may suspend or terminate your access to the Platform at our discretion, with or without notice, if you violate these Terms or engage in activities harmful to the Platform or other users.

12.3

Upon termination, your right to access the Platform ceases, but provisions related to intellectual property, liability, and indemnification survive.

13.1

These Terms are governed by the laws of the United Arab Emirates, with specific application of Dubai law where applicable.

13.2

Any disputes arising from these Terms shall be resolved through amicable negotiation. If unresolved, disputes shall be referred to the Dubai Courts, unless otherwise agreed.

13.3

For consumer disputes, you may also contact the Dubai Economic Department or relevant UAE consumer protection authorities.

14.1 Force Majeure

We are not liable for delays or failures in Platform performance due to events beyond our control, including natural disasters, wars, or government restrictions.

14.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect.

14.3 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and KLUGSYS Proptech LLC regarding Platform use.

14.4 Language

These Terms are provided in English and Arabic. The Arabic version is available upon request and prevails in case of discrepancies.
